These Terms of Service (“Terms”) govern your access to and use of Aya, an AI assistant service operated by Velts (“we”, “us”). By creating an account or using the app, you agree to these Terms.

1. Acceptance

By tapping “Continue” on sign-up, signing in, or otherwise using Aya, you accept these Terms and our Privacy Policy. If you do not agree, do not use Aya.

2. Eligibility

You must be at least 18 years old to subscribe to a paid tier. If you are between 13 and 18, you may use Aya only with verifiable consent from a parent or legal guardian. Aya is not intended for users under 13.

You must comply with all laws applicable to you and confirm you are not on any government sanctions list.

3. Licence

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to install and use the Aya app on devices you own or control, solely for your personal or internal business use.

We retain all rights not expressly granted. Aya, the brand, and the software are our intellectual property (or our licensors’).

Auto-renewal. Paid subscriptions auto-renew at the same price and period unless cancelled at least 24 hours before the end of the current period. The renewal charge is taken within 24 hours before the new period starts.

Cancellation. Manage or cancel a subscription in your Apple or Google account settings:

  • iOS: Settings → [your name] → Subscriptions → Aya.
  • Android: Play Store → Profile → Payments & subscriptions → Subscriptions → Aya.

Deleting the app does not cancel a subscription.

Refunds. Refunds for in-app purchases are processed by Apple or Google under their published policies; we cannot directly refund store transactions.

Price changes. We may change prices for new periods on at least 30 days’ notice. Continued use after the change takes effect is acceptance of the new price.

5. Acceptable use

You agree not to:

  • abuse, harass, defame, or impersonate anyone, including via assistant-generated content;
  • attempt to reverse engineer, decompile, or extract source code from Aya, except where local law permits;
  • scrape, mirror, or systematically copy Aya content or APIs;
  • use Aya to build a competing AI assistant or to train a competing model;
  • circumvent rate limits, tier limits, or security controls;
  • upload content that is illegal, infringes third-party rights, or contains malware;
  • use Aya to spam, send unsolicited bulk messages, or violate anti-spam laws.

We may suspend or terminate accounts that breach these rules.

6. Content you provide

You retain ownership of everything you upload to Aya (messages, files, receipts, client notes, memory entries — “Your Content”). You grant us a worldwide, royalty-free licence to host, store, process, transmit, and display Your Content solely to provide and improve the service for you, including by sending it to sub-processors (see Privacy Policy section 5).

You are responsible for the legality of Your Content and for having the right to upload it. Where Your Content contains personal data of third parties (for example, your clients), you confirm you have a lawful basis to share it with us as your processor.

7. AI-generated outputs

Aya generates text, summaries, suggestions, and actions using third-party large language models (currently Google Gemini). AI outputs may be inaccurate, incomplete, or out of date. You must independently verify AI outputs before relying on them for financial, legal, medical, or other consequential decisions. Aya is not a substitute for professional advice.

We do not warrant that AI outputs are accurate, fit for a particular purpose, or free from bias. You are responsible for reviewing and approving anything Aya drafts before you send it, store it as a record, or rely on it.

8. Third-party services

Aya integrates with third-party services such as Google Calendar, Gmail, Apple Sign in, the Apple App Store, Google Play, and RevenueCat. Those services are governed by their own terms and privacy policies. We are not responsible for third-party services and cannot guarantee their availability. If a third party changes or removes a feature, we may have to change or remove the related Aya feature.

Gmail connection. If you connect Gmail, you authorise Aya to access your Google email on a read-only basis so Aya can triage your inbox and suggest receipts, to-dos, commitments, and contacts for your review. Aya never sends, modifies, or deletes your email. You can disconnect at any time in Aya settings or from your Google Account; disconnecting deletes the email data Aya holds for that connection.

9. Disclaimers

To the maximum extent permitted by law, Aya is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, statutory, or otherwise — including warranties of merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow the exclusion of certain warranties; in those places the disclaimers apply only to the extent the law allows.

10. Limitation of liability

To the maximum extent permitted by law:

  • Velts, its affiliates, and its suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if we were told such damages were possible.
  • Our total aggregate liability for all claims arising out of or relating to the Service is limited to the greater of (a) the amounts you paid us in the 12 months before the event giving rise to the claim, or (b) USD 100.

Some jurisdictions do not allow these limits; in those places our liability is limited to the smallest amount the law allows.

11. Indemnification

You agree to defend, indemnify, and hold harmless Velts, its affiliates, and its personnel from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of:

  • your use of the Service in breach of these Terms or the law,
  • Your Content, or
  • your violation of any third-party right.

12. Termination

You can stop using Aya and close your account at any time from in-app settings or by emailing contact@velts.org.

We may suspend or terminate your access if you breach these Terms, we are required to by law, continued provision creates a security or legal risk, or the Service is discontinued.

When your account closes, your data is handled under the retention windows in the Privacy Policy. Sections that by their nature should survive termination (Your Content licence wind-down, Disclaimers, Limitation of Liability, Indemnification, Governing Law, Dispute Resolution) will survive.

13. Changes

We may update these Terms over time. If a change is material, we will notify you in the app or by email at least a reasonable period before it takes effect. Continued use after that date means you accept the updated Terms. Older versions remain at https://tryaya.app/legal/tos/{version}.

14. Governing law and venue

These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules. The exclusive venue for any dispute that is not subject to arbitration is the competent courts of Tel Aviv, Israel. Nothing in this section removes mandatory consumer-protection rights you have in your country of residence.

15. Dispute resolution

Before starting a formal proceeding, you and Velts agree to try to resolve any dispute informally. Email contact@velts.org with the subject line “Legal” and a description of the issue. If we cannot resolve it within 60 days, either side may proceed.

After the informal step, users in the EU, EEA, UK, and elsewhere keep all mandatory rights to bring proceedings in the courts of their country of residence under local consumer law.

16. General

  • Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
  • No waiver. If we do not enforce a right, that is not a waiver of it.
  • Entire agreement. These Terms, together with the Privacy Policy and any in-product notices, are the entire agreement between you and Velts about the Service.
  • Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for delays or failures caused by events outside our reasonable control.
  • Notices. We may give you notices in the app, by email, or on the website.
